Terms of Service

These Terms of Service (the "Terms") are a legal agreement between Koode ("Squeezle", "we", "us", or "our") and the person or organization that uses Squeezle ("you" or "Customer"). They govern your access to and use of the Squeezle service at squeezle.app and its related applications, APIs, and websites (together, the "Service").

By creating an account, or by accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.

1. Accounts and eligibility

To use the Service you must create an account. You must provide accurate information and keep it current. You are responsible for activity that happens under your account and for keeping your sign-in credentials secure. Squeezle uses passkeys and, where enabled, single sign-on; you are responsible for the authenticators and identity provider you use to sign in.

You must be at least 16 years old, or the age of digital consent in your country, to use the Service. The Service is intended for business use and is not directed at children.

2. Organizations, ownership, and roles

The Service is organized around organizations (tenants). When you create an organization, you become its owner. The owner and administrators can invite members, assign roles, connect databases, and manage settings, billing, and access controls.

  • The organization is responsible for the acts and omissions of its members and for managing their access.
  • Roles and capabilities determine what each member can see and do, including who can view sensitive columns, run queries, and share results.
  • You are responsible for configuring access controls appropriately for the data you connect.

3. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms. Among other things, you must connect only databases you are authorized to use, respect tenant isolation and access controls, and not attack or abuse the Service. We may suspend or limit access for violations, as described there and in the termination section below.

4. Plans, billing, renewal, and cancellation

Squeezle offers a free plan and paid plans with different limits and features, plus optional à-la-carte add-ons. The plan you select, and any add-ons, determine your entitlements and the fees you owe.

  • Fees and billing. Paid plans are billed in advance through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees. Fees are stated exclusive of taxes; you are responsible for any applicable taxes.
  • Renewal. Paid subscriptions renew automatically for successive periods at the then-current price unless you cancel before the end of the current period.
  • Cancellation. You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable.
  • Trials and free plan. Any free trial or free plan is provided as is, and we may change or discontinue it. When a trial ends, paid features may become unavailable unless you subscribe.
  • Changes to pricing. We may change prices; changes apply to the next renewal after we give you reasonable notice.

5. Customer data and ownership

"Customer Data" means the data you connect, submit, or generate through the Service, including your database connection details, the queries you write, and the query results the Service processes on your behalf. As between you and us, you own your Customer Data and retain all rights in it. We do not sell your Customer Data or use it to train AI models.

You grant us a limited license to host, process, and transmit Customer Data only as needed to provide and support the Service, in line with these Terms, our Privacy Policy, and our Data Processing Agreement.

Where we process personal data contained in Customer Data on your behalf, we act as a processor and you act as the controller. Our Data Processing Agreement forms part of these Terms for business customers and governs that processing.

6. AI features

Squeezle offers optional AI assistance, such as drafting and explaining SQL. Depending on your plan, AI runs on credits included with your plan (using our AI provider) or with your own provider key (bring-your-own-key). When you use AI, relevant context (such as database schema, the query text, and, where applicable, results) is sent to the AI provider to produce a response.

  • AI output can be inaccurate or incomplete. You are responsible for reviewing any SQL or output before you rely on or run it.
  • If you use a bring-your-own-key configuration, your use is also subject to that AI provider's terms.
  • AI features are optional and can be turned off for your organization.

7. Third-party services and sub-processors

The Service relies on third-party providers to host the application, store data, process payments, and provide optional AI. The current list is on our Sub-processors page. Your use of any third-party service you connect or configure (for example a single sign-on provider or your own AI key) is subject to that provider's own terms.

8. Intellectual property

We and our licensors own all rights in the Service, including its software, design, and content, other than Customer Data. These Terms do not grant you any right in the Service except the limited right to use it in line with these Terms. You may not copy, modify, reverse engineer, or create derivative works of the Service, except to the extent that restriction is prohibited by law. If you send us feedback, you grant us a non-exclusive, perpetual, royalty-free license to use it to improve the Service.

9. Warranties and disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. You are responsible for the queries you run and their effects on your own databases.

10. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.

To the fullest extent permitted by law, each party's total aggregate liability arising out of or related to these Terms will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the liability, or one hundred euros (€100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

11. Indemnification

You will defend, indemnify, and hold us harmless from and against claims, damages, and costs arising out of your Customer Data, your use of the Service in violation of these Terms or the Acceptable Use Policy, or your violation of applicable law or the rights of a third party, except to the extent caused by us.

12. Term and termination

These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms or the Acceptable Use Policy, if required by law, or if your continued use poses a risk to the Service or others. Where practical, we will give you notice and a chance to cure.

On termination, your right to use the Service ends. We will make Customer Data available for export for a limited period as described in our Data Processing Agreement, after which we will delete or return it in line with that agreement and our retention practices. Provisions that by their nature should survive termination will survive.

13. Changes to the Service and these Terms

We may update the Service and these Terms from time to time. When we make a material change to these Terms, we will update the Last updated date above and, where appropriate, give you additional notice. Your continued use of the Service after a change takes effect means you accept the updated Terms. If you do not agree, stop using the Service.

14. Governing law and disputes

These Terms are governed by the laws of the laws of the Netherlands, with disputes subject to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands, without regard to its conflict-of-laws rules. The courts of the laws of the Netherlands, with disputes subject to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you may have in your country of residence.

15. General

  • Entire agreement. These Terms, together with the policies they reference, are the entire agreement between you and us about the Service.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Waiver. A failure to enforce a provision is not a waiver of it.
